SEC Files Crypto Asset Rule With $75 Million Exemption

Bitcoin held at $78,727 with zero change while Ethereum slipped 0.6 percent to $2,453.75 as the market reviewed the Securities and Exchange Commission’s new proposal.

The commission issued Release 2026-76 on August 18, 2026, under File S7-2026-27 and RIN 3235-AN38. The package carries release numbers 33-11434 and 34-106150. Publication followed in the Federal Register three days later.

Exemption Structure

The draft creates two Securities Act exemptions inside a new 17 CFR part 228. One path allows a one-time $5 million raise spread across four years. The second permits up to $75 million inside any rolling 12-month window. Both routes aim to support capital formation while requiring investor disclosures.

The measure sits alongside the March 17, 2026 interpretation labeled S7-2026-09. It does not replace that earlier guidance. Officials positioned the text as separate from the Novel ETFs proposal filed as S7-2026-24.

Comment Window and Process

Comments on the filing must reach the commission by October 20, 2026. The deadline gives market participants roughly nine weeks to submit views on the proposed exemptions and the new regulatory text.
